CHAPTER 186.

FOREIGN COMPANIES.

AN ACT TO ENABLE COMPANIES FORMED AND INCORPORATED WITHOUT THE COLONY TO HOLD LANDS THEREIN AND FOR OTHER PURPOSES.

Short title.

[5th June 1891.] 1. This Act may be cited as The Foreign Companies Act.

  1. -(1) It shall be lawful for any company formed and incorporated at any place without the Colony and capable of acquiring or holding lands to hold lands in the Colony in its corporate name, and the same to deal with, transfer, mortgage, and dispose of as to it may seem meet:

    Provided that the privileges granted to any company as aforesaid shall only exist in the case of a company which observes the following conditions, that is to say:(a) has deposited, or caused to be deposited, in the Registry of Records of the Colony a copy of the Act, charter or other documents of incorporaition of such company duly certified and authenticated under public seal -of the country, city or place under the laws of which the said company has been incorporated and has paid a fee of five pounds thereon;

    (b) has caused a public notice to be inserted in the Gazette to the effect that such certified copy has been deposited as required by this Act, and also setting forth the island or place within the Colony in which the company has established a registered office.

    (2) Any writ, notice, order or other document required to be served upon the company, may be served by leaving the same, or sending it through the post in a prepaid letter, addressed to the company at its registered office.

  2. -(1) Upon the depositing of the certified copy of the Act, charter or other document of incorporation of the company and the publication of the notice that such certified copy has been deposited as required by this Act, the Registrar General shall issue a certificate under his hand and seal of office that the company is registered under this Act.

    (2) The Registrar General on the application of any company which complied with the provisions of section 2 of this Act prior to the coming into operation of this Act shall issue a certificate under his hand and seal of office that the company has complied with the provisions of the said section 2 and such certificate shall be conclusive...
